By submitting this application for the 2024 TAKE A CHANCE! Entrepreneurial Pitch Competition (the “Event”), I (referred to as “I”, “you”, “me”, “my” “Applicant” or “Company”) acknowledge and agree to the following Terms and Conditions:
1. I have read and agreed, on my behalf and on behalf of Company, to the TAKE A CHANCE! Entrepreneurial Pitch Competition Terms of Use, Privacy Policy and Code of Conduct.
2. I, on my own behalf and on behalf of any Company, have thoroughly examined the terms of this application. These application terms, encompassing eligibility criteria and entry deadlines among other provisions, are hereby integrated into these Terms and Conditions. I hereby affirm my agreement to abide by these application terms.
3. If I am selected to participate in TAKE A CHANCE! Entrepreneurial Pitch Competition 2024, then I agree that on my behalf, and on behalf of the other participants, to be bound by the Participation and Credentials Terms and Conditions. Applicant shall be referred to interchangeably as Participant throughout.
4. Entering this application does not assure my selection to participate in the TAKE A CHANCE! Entrepreneurial Pitch Competition. Only completed applications will be reviewed and considered for inclusion. Selections for the TAKE A CHANCE! Entrepreneurial Pitch Competition will be made based on the criteria outlined in the application and these Terms and Conditions, and such determinations will be at the sole discretion of TAKE A CHANCE! Entrepreneurial Pitch Competition. Please note that TAKE A CHANCE! Entrepreneurial Pitch Competition is not obligated to offer feedback to Applicants.
5. If selected, Company will be provided with two (2) complimentary TAKE A CHANCE! Entrepreneurial Pitch Competition 2024 Tickets necessary to attend and participate in the Event.
6. I understand that once I have entered my application, it is final and can no longer be edited
7. As the Applicant, I acknowledge that I bear the sole responsibility for safeguarding any intellectual property rights (including, but not limited to, patents, trademarks, copyrights, trade secrets, etc.) associated with my application, participation, product, service, and/or idea. It is strongly advised that I seek legal advice prior to engaging in the Event. I am aware of the inherent risks associated with sharing proprietary information on the internet, including the potential for piracy, and I willingly assume these risks.
8. I hereby grant TAKE A CHANCE! Entrepreneurial Pitch Competition an everlasting, unalterable, global, royalty-free license encompassing any copyright, trademark, right of personality or publicity, or other proprietary rights pertaining to the following, for utilization in connection with the Event, its affiliated services, media, or press: (i) To photograph, film, and record my participation in the Event, if I am selected to participate in TAKE A CHANCE! Entrepreneurial Pitch Competition 2024 (“Recordings”); (ii) To employ my name, image, likeness, headshot, bio, and voice, all as provided by me, in association with the advertisement and promotion of the Event (“My Likeness”); (iii) To exhibit, distribute, reproduce, publicly perform, edit, translate, advertise, promote, and display the Recordings through any method or device currently known or subsequently devised. I comprehend and consent that there will be no financial or other monetary compensation extended to me for the use of My Likeness in the Recordings. No materials featuring My Likeness will be submitted to me for further approval, and TAKE A CHANCE! Entrepreneurial Pitch Competition shall bear no liability to me for any utilization of My Likeness.
9. The TAKE A CHANCE! Foundation retains full ownership of all rights, titles, and interests related to the trademarks, including TAKE A CHANCE! Entrepreneurial Pitch Competition, as well as other associated trademarks, logos, social media assets, promotional images, and any related materials provided by TAKE A CHANCE! Entrepreneurial Pitch Competition to the Applicant (collectively referred to as the “TAKE A CHANCE! Entrepreneurial Pitch Competition Marks”). TAKE A CHANCE! Entrepreneurial Pitch Competition grants the Applicant a non-transferable, nonsublicensable, limited, non-exclusive, royalty-free, and revocable license (referred to as the “License”) to utilize, reproduce, and exhibit the TAKE A CHANCE! Entrepreneurial Pitch Competition Marks solely within the provided social media images and promotional materials of TAKE A CHANCE! Entrepreneurial Pitch Competition, until June 30, 2024 (the “Term”), for the exclusive purpose of promoting the Applicant’s participation. Any additional use of the TAKE A CHANCE! Entrepreneurial Pitch Competition Marks, including in hashtags, necessitates prior written approval from TAKE A CHANCE! Entrepreneurial Pitch Competition. All utilization of the TAKE A CHANCE! Entrepreneurial Pitch Competition Marks by the Applicant, and any resulting goodwill, shall exclusively benefit TAKE A CHANCE! Entrepreneurial Pitch Competition. All rights not expressly licensed herein are explicitly reserved by TAKE A CHANCE! Entrepreneurial Pitch Competition. Furthermore, the Applicant agrees to strictly adhere to the terms outlined in the Participant’s Supplemental Trademark License Terms, available [here](link to Supplemental Trademark License Terms), wherein the Applicant is referred to as the Participant, with both parties understanding these terms as interchangeable.
10. I represent and warrant that the information I provided in this application is accurate, I have the necessary rights to enter this application, all aspects of the product, project, service and/or idea underlying this application are my own and do not infringe on the rights of any third-party or otherwise violate any law, my application and presentation of my product, project, service, and/or idea does not violate any agreement or understanding by which I’m bound nor would my participation in TAKE A CHANCE! Entrepreneurial Pitch Competition violate any such agreement(s) and I will not hereafter enter into any agreements or understandings with any person or entity that might conflict with my warranties and representations made in these Terms and Conditions.
11. I indemnify, defend, and hold harmless TAKE A CHANCE! Entrepreneurial Pitch Competition, its parents, subsidiaries, owners, and affiliates, and each of their respective shareholders, officers, directors, agents, and employees from any and all responsibility or liability arising out of or in connection with: (a) any breach of my representations or warranties herein; and (b) my violation of these Terms and Conditions and/or any guidelines, policies and terms provided by TAKE A CHANCE! Entrepreneurial Pitch Competition.
12. I consent to TAKE A CHANCE! Entrepreneurial Pitch Competition collecting, processing and using the personal data I supplied in this application in order to review my materials and communicate with me about the application.
13. I acknowledge and consent that, for the purpose of enhancing the TAKE A CHANCE! Entrepreneurial Pitch Competition experience or due to factors beyond the control of TAKE A CHANCE! Entrepreneurial Pitch Competition, TAKE A CHANCE! Entrepreneurial Pitch Competition reserves the right to: (a) alter the dates, venues, or mode of participation in TAKE A CHANCE! Entrepreneurial Pitch Competition 2024; and/or (b) cancel, amend, or temporarily suspend applications for TAKE A CHANCE! Entrepreneurial Pitch Competition 2024, whether they have been accepted or not. I agree that TAKE A CHANCE! Entrepreneurial Pitch Competition may communicate such changes by posting a notice on its website. Furthermore, I affirm that I shall have no recourse against TAKE A CHANCE! Entrepreneurial Pitch Competition, whether in terms of legal action, equitable relief, or otherwise, if the dates, venues, or modes of participation in TAKE A CHANCE! Entrepreneurial Pitch Competition 2024 are modified, or if my application is declined, cancelled, or suspended, regardless of the underlying reason.
14. These Terms and Conditions will be interpreted by, and enforced in accordance with, the laws of the State of Michigan regardless of applicable choice of law rules. I agree that the exclusive venue for any dispute between me and TAKE A CHANCE! Entrepreneurial Pitch Competition related to my application will be in a court of competent jurisdiction in Detroit, Michigan.
